Recently, Tenpay revised the WeChat Payment User Service Agreement. The revision will take effect on September 20, 2024.
The following is the full text of the WeChat Payment User Service Agreement:
Important note:
Tenpay Payment Technology Co., Ltd. (hereinafter referred to as "the Company") provides users (hereinafter referred to as "you") with WeChat payment services in accordance with this Agreement. This agreement is legally binding on you and our company. Before using WeChat payment service, you should read and abide by this agreement and Tenpay Service Agreement. As WeChat payment service is a service provided by our company relying on WeChat and WeChat public platform, you need to use WeChat software service when using this service, so you should read and abide by Tencent WeChat Software License and Service Agreement. If you need to use WeChat public platform service, you should also read and abide by WeChat public platform service agreement. We hereby remind you to carefully read and fully understand the terms of the above-mentioned agreement, especially the relevant terms of exempting or limiting our responsibilities, limiting your rights and stipulating dispute resolution methods. Please read carefully and choose whether to accept the above agreement (minors should be accompanied by guardians). If you have any questions about this agreement, please consult customer service.
I. [This Service]
1.1 WeChat payment service refers to the monetary fund transfer service provided by the Company between payees and payees based on WeChat and WeChat public platform. (hereinafter referred to as "this service")
1.2 This service includes balance payment and fast payment.
1.2.1 Balance payment refers to a payment method in which you use the balance in the payment account opened for you by our company to transfer funds. You confirm and agree that when the company opens a payment account for you, you will associate your micro signal with the payment account, so that you can use the payment account through the "change" function of WeChat (hereinafter referred to as "change" refers to the payment account, which is also equivalent to the Tenpay account referred to in the Tenpay Service Agreement). You have the right to use the balance in the change for consumption and transfer. If the balance is insufficient, you need to start express payment first and recharge the change. You can also increase the balance of the change by receiving the transfer from others.
1.2.2 Express payment refers to a payment method in which you entrust our company to directly deduct and collect funds from your bank account. Fast payment can realize the recharge of "change", as well as the functions of consumption and transfer. If you need to use fast payment on the WeChat client, you should enter your real name, ID number, bank card number, expiration date (required by credit card holders), mobile phone number reserved by the bank and other information on the "Add Bank Card" page of the WeChat client, and use it only after the above information has been verified by our company and your bank. You have learned and agreed that if the function, limit and category of your bank account change, or your bank account is cancelled or merged, you can’t use this service normally, you need to negotiate with the bank and inform our company in time, and our company can provide necessary support and cooperation. Our company will set/adjust the trading limit that you can use according to regulatory requirements, payment business scenarios, transaction risk control, bank quota control and/or bank cooperation. You can check the reference limit through our website page and/or interactive page, which is subject to the prompt when actually paying. If there is no limit prompt on the cashier page when paying, you will be prompted after exceeding the limit.
1.3 You understand and agree that the above-mentioned process of this service may be adjusted due to the change of applicable scenarios and functional survival, so the actual service process provided by our company shall prevail.
1.4 In order to meet the national laws and regulations on the operation of non-bank payment institutions, you authorize our company to inquire and verify your identity information and account information with state organs, financial institutions, enterprises and institutions within the scope permitted by laws and regulations or after obtaining your authorization.
1.5 You understand and agree that our company has the right to revise the contents of the agreement according to the adjustment needs of business operation within the scope permitted by law, and announce the latest service agreement through our website or WeChat client in advance. You can pay attention to and understand the latest service agreement announced by our company. The latest service agreement will take effect on the 30th day after the announcement expires. If you can’t agree to the contents of the latest service agreement, you have the right to stop using this service.
1.6 As you know, the fund balance recorded in "change" is different from your own bank deposit and is not protected by the Deposit Insurance Ordinance. Its essence is the prepaid value entrusted by Tenpay Company and owned by you. Although the monetary fund corresponding to the prepaid value belongs to you, it is not deposited in the bank in your own name, but in the name of Tenpay Company, and Tenpay Company initiates the capital allocation instruction to the bank.
II. [Account and Information Security]
2.1 You should set your own login password and WeChat payment password for micro-signals, and keep them properly. Your micro-signal will be associated with the payment account configured by our company and cannot be used alone. If your micro-signal is cancelled, the payment account associated with it will also be cancelled, making it impossible for you to use this service through this micro-signal. In order to meet the requirements of laws and regulations and use the core functions of this service, you need to submit your name, ID number, mobile phone number, bank card information and other information. You authorize our company to keep your name, ID number, mobile phone number, bank card number, transaction orders, transaction records and other information within the scope prescribed by law, so as to provide and promote quality services to you continuously. Do you agree:
2.1.1 You should provide and update your information in time according to the requirements of our company. If the information you provide is wrong, untrue, expired or incomplete, our company has the right to suspend or terminate the provision of some or all services to you.
2.1.2 You should provide your contact information accurately and update it in time, so that our company can contact you timely and effectively; If you don’t provide your contact information accurately and update it in time, our company may not be able to get in touch with you and provide you with some or all services.
2.1.3 You should update your identity information and related materials in time. If you fail to update the above-mentioned identity information and related materials in time, the service cannot be used or the WeChat payment account is fraudulently used by others, and the corresponding risks will be borne by you.
2.1.4 If you are an individual user, you confirm that our company has the right to request to check your valid ID card or other necessary documents, keep a scanned copy of your valid ID card and complete the relevant identity authentication required by our company under any of the following circumstances. You should actively cooperate, otherwise the company has the right to restrict or stop providing you with part or all of this service:
A. You handle the business of recharging, collecting or paying a single sum of more than RMB 10,000 or the foreign currency equivalent of more than USD 1,000;
B. The total amount of recharge, collection and payment under all your WeChat payment accounts within 30 days is more than RMB 50,000 yuan or the foreign currency equivalent is more than USD 10,000;
C. The balance of all your WeChat payment accounts exceeds RMB 5,000 yuan or the equivalent of US$ 1,000 in foreign currency for 10 consecutive days;
D. You use this service to buy or sell financial products or services;
E. There are doubts about your identity information or related materials, or the trading behavior and trading situation are abnormal;
F. Other circumstances in which you should check or keep your identity documents or other necessary documents as stipulated by laws and regulations.
The term "above" in this article includes this number.
2.1.5 If we need you to provide additional identity information or related materials due to the requirements of national laws, regulations, departmental rules or regulatory agencies, if you can’t provide them in time, we have the right to suspend or terminate the provision of some or all services to you.
2.1.6 The name, nickname and avatar you set in the WeChat payment account must comply with laws and regulations, public order and good customs, and social ethics, and will not infringe upon the legitimate rights and interests of other third parties, otherwise, the company has the right to take restrictive measures on your WeChat payment account, such as blocking or revoking the nickname and avatar of your WeChat payment account and stopping providing some or all services. When you use WeChat to pay, your nickname and avatar will be displayed on the bill, change details and small account book of the payee, so that the payee can know the transaction information.
2.1.7 You should fully understand and clearly know the legal responsibilities and disciplinary measures related to renting, lending, selling, buying accounts and collecting barcodes, and promise to open and use my account and collecting barcodes according to laws and regulations.
2.2 You should properly keep the following information, materials and hardware equipment:
(1) Card information such as bank card and its password, CVV code and expiration date;
(2) Micro-signal and its login password;
(3) WeChat payment password and gesture password;
(4) Mobile terminals such as mobile phones, SIM card information and two-dimensional code (barcode) information;
(5) Biometric information such as fingerprint information, iris information, face information and voiceprint information.
You should take good care of the above materials, information and hardware equipment, and ensure that your mobile terminal equipment such as mobile phone is safe, virus-free, not invaded, not monitored and not illegally controlled. If you disclose any of the above information or lose the above hardware equipment, the risks and losses arising therefrom shall be borne by you.
2.3 In any of the following cases, you should contact the customer service department of our company in time to reduce possible losses:
(1) You have inadvertently lost or disclosed the information listed in Article 2.2 of this Agreement;
(2) You have lost your mobile terminal or SIM card such as your mobile phone;
(3) You reserved someone else’s mobile phone number when opening a bank account;
(4) A third person fraudulently uses or embezzles your identity information or account information;
(5) Others are using your micro-signal, this service or your bank account without your legal authorization.
In case of the above situation, please call our customer service number: 95017 in time.
If you fail to notify our company in time, you shall bear the losses incurred, unless our company has intentional or gross negligence.
2.4 The Company has the right to adjust the quantity, category, limit and function of your payment account according to national laws and regulations, rules and regulations, industry norms, regulatory policies and requirements, and the adjustment method will depend on the risk management of your payment account. If you have applied for adjustment according to law and passed the examination, the approved content shall prevail.
2.5 If you have losses due to the misappropriation of your account during the use of this service, we will provide you with financial security according to the provisions of the User Security Rules.
Iii. [Functions of this Service]
3.1 Consumer Payment
You can use this service to buy goods and services from merchants, and our company will deduct the corresponding funds from your "change" or your associated bank account to the merchant account according to your or the merchant’s trading instructions.
3.2 Transfer/Collection
Transfer: You can use this service to transfer money to your designated payee, and our company will deduct the corresponding funds from your "change" or your associated bank account to the payee’s WeChat payment account or bank account according to your or your designated payee’s payment instructions.
Collection: You can also collect other people’s transfer funds through WeChat payment service, and our company can transfer the funds to your "change". You can also transfer the funds within the limit of small change balance to your associated bank account, and our company can also directly transfer the funds with "small change" balance to your associated bank account according to the law or the agreement.
Implementation mode: Our company will realize the functions of transfer and collection through WeChat red envelope, transfer, QR code collection, appreciation code, group collection, and transfer to bank card or mobile phone number in the WeChat client, depending on the actual implementation mode provided by our company.
3.3 Payment to Merchants
In order to facilitate you to use the micropayment service, you provide your QR code (barcode) information to the merchant. After the merchant obtains your QR code (barcode) information, the payment can be completed for transactions within a certain amount (the company will adjust the amount according to laws and regulations, your self-service settings and your transaction risks) without entering the payment password or SMS check code. When you enable and use this function, it is deemed that you agree and authorize our company to transfer transaction funds from your "change" or bank account to the merchant account without checking your payment password, SMS check code and other factors. When you use this service, you must abide by the agreement of paying user service agreement.
3.4 Secret-free Payment
In order to facilitate you to use the micropayment service, when you start this function for the first time on the relevant page, after you enter the payment password or complete the fingerprint/face verification, and confirm the authorization to our company, our company has the right to deduct the corresponding funds from your "change" or bank account directly according to the instructions of the merchant. The specific verification process is subject to the actual service process. When you use this function again, within a certain limit, our company can transfer the transaction funds from your "change" or bank account to the merchant account without checking your payment password, SMS check code and other factors. If you want to cancel the deduction authorization of our company, you should cancel it in the client before the deduction instruction is executed.
3.5 query
Our company will record your transactions using this service, and you can check the transaction records on the WeChat client.
3.6 Adding/Unbinding Bank Cards
You can associate or unbind a new bank account or bank card on the WeChat client.
3.7 Modify/Reset Password
You can modify the original password, or apply for password reset by providing bank cards and personal information.
3.8 refund
If you apply for a refund on the WeChat payment transaction, after the refund is successful, the company can directly refund the money to your original bank card or "change".
3.9 Recharge and cash withdrawal
Recharge: You can transfer the funds in your associated bank account to your "change" account.
Withdrawal: You can transfer the funds in the "change" account to your associated bank account.
3.10 Agency purchase and settlement function
If you use the consumption payment and transfer/collection functions of this service in cross-border scenarios, and make exit/entry settlement in foreign exchange, our company will purchase, pay and settle foreign exchange on behalf of our domestic cooperative banks in your name (for details, please refer to Appendix 1 "Appendix for Agency Purchase and Settlement of Foreign Exchange" of this Agreement).
Iv. [Use of this Service]
4.1 The payment instructions issued by your micro-signal in the login state are regarded as the payment instructions issued by yourself. You understand and agree that due to the timeliness of fund transfer, the payment instruction will take effect as soon as it is issued, and the company has the right to deduct and collect funds according to the payment instruction issued by you. You should take good care of your mobile phone and other electronic devices, payment passwords, SMS check codes, digital certificates, electronic signatures, barcodes, QR codes and other information and materials used for WeChat payment, and you shall bear the losses caused by your own disclosure, loss, copying and forwarding of the above information and materials.
4.2 In order to bring you a better payment experience, you understand and agree that for a certain amount of payment transactions within a certain number of times (specifically, according to the relevant usage rules), our company can deduct and collect funds from your "change" and associated bank accounts (such as "payment to merchants" and "confidential payment" functions) according to the transaction instructions of you or merchants or payees.
4.3 You voluntarily apply for opening a bank account with our cooperative bank (specifically, the bank confirmed by you in the operation interface, hereinafter referred to as the "opening bank"), and complete the payment transaction through this bank account. You agree and authorize: 1) Our company will transmit the personal information (such as name, ID number, mobile phone number, bank card information, etc.) you need to apply for opening a bank account to the bank; 2) The Company can transfer the transaction money from your change balance to the bank account designated by you for payment; 3) The Company may deduct the transaction amount from the bank account designated by you for payment, so as to complete the transaction. You should use the bank account according to the agreement between you and the opening bank. In case of any of the following circumstances, the company has the right to immediately suspend the service:
(1) You use this service for illegal purposes;
(2) You violate laws, regulations, agreements or account usage rules;
(3) There are risks in providing this service to you;
(4) Your bank account is invalid, expired or cancelled;
(5) The system failure and system upgrade of the bank cause our company to be unable to provide this service normally.
4.4 If you enable the function of fingerprint payment or face payment, it will be deemed that you agree that when you use fingerprint payment or face payment, within a certain limit, you can deduct and collect funds from your "change" and associated bank account according to the transaction instructions of you or merchants or payees without checking your payment password and SMS dynamic code.
If you open the WeChat payment face brushing service in the WeChat client or on a device that supports the WeChat payment face brushing service, our company will provide you with corresponding services according to this agreement and the WeChat payment face brushing service agreement.
4.5 You understand and agree that our company is not a bank or a financial institution, and it is unable to provide immediate funds arrival service. You agree that it takes reasonable time for funds to flow on the way.
4.6 During your use of our services, our company is not responsible for the currency depreciation, exchange rate loss, interest loss and other risks of the money kept, collected or paid for you, and we are not required to pay you the fruits of such money.
4.7 When you use this service, if you have no transaction record within 6 months from the date of opening an account, our company has the right to suspend the provision of this service to you and resume the service after re-verifying your identity.
4.8 When you use this service, you should carefully confirm the transaction and its amount before making payment. Our company has the right to deduct the funds to the payee according to your instructions. At that time, you should not ask our company for a refund or assume other responsibilities for reasons such as not signing the transaction documents, inconsistent signatures, trading against your will, etc.
4.9 You shall be responsible for the legality, authenticity, completeness and validity of the instructions issued in the course of using this service, and you shall bear the corresponding responsibilities for our company to operate according to your instructions.
4.10 You should improve your identity information in accordance with laws, regulations, rules and regulatory requirements in order to finally achieve real-name authentication, otherwise you may be restricted in receiving, withdrawing and/or paying (such as small change, red envelopes, wealth management, etc.), and our company has the right to suspend the receipt and payment of your WeChat payment account until you meet the standard of real-name authentication.
4.11 You agree that our company has the right to inform you about the use of this service by means of in-app information notification, e-mail, Tenpay website announcement, telephone or fax.
4.12 We provide you with various transfer methods (except WeChat red envelope), such as real-time account arrival, ordinary account arrival and next-day account arrival. You can set the default transfer method (the first transfer method you choose is the default transfer method, and you can also adjust the default transfer method). In order to ensure the safety of your funds, we will set the daily limit and the number of transactions for transfer according to the risk management of your account, or you can set the daily limit and the number of transactions for transfer if it exceeds the limit and the number of transactions.
In the payment scenario and partial fee deduction scenario, you can set a priority payment method, and our company will give priority to the payment/fee deduction you set. If the payment fails, we will try to use other payment methods to complete the payment/fee deduction. If you don’t set the priority payment method independently, in order to get a good payment experience, our company can provide you with services according to your payment habits or the settings recommended by our company, and you can change the priority payment method of relevant scenarios at any time. However, unless there is a special agreement in a specific scene authorized or agreed by you.
4.13 You promise not to use this service for any illegal purpose or in any illegal way, nor to use this service for transactions that are prohibited or restricted by laws and regulations.
4.14 You shall not use this service to perform any of the following acts:
(1) Oppose the basic principles set by the Constitution, endanger national security, divulge state secrets, subvert state power and undermine national unity;
(2) Infringe on others’ reputation, privacy, trade secrets, trademark rights, copyrights, patents and other rights;
(3) using this service in the name of another person, or the phone number and ID number you submitted can’t pass the verification;
(4) engaging in any illegal trading activities, such as selling guns, drugs, banned drugs, pirated software, buying and selling POS machines (including MPOS), card readers and other acceptance terminals online, or selling other prohibited items;
(5) Providing gambling information or inducing others to participate in gambling in any way;
(6) Suspected of committing or carrying out money laundering, cashing out or pyramid selling activities;
(7) Trading with invalid credit cards or other people’s credit cards;
(8) Trading with invalid bank accounts or other people’s bank accounts;
(9) Infringement of this service system;
(10) Violation of laws and regulations, regulatory provisions, terms, agreements, rules, notices and other relevant provisions of the Company’s website (https://www.tenpay.com/v3/);
(11) Lease, lend, sell, buy a bank account or payment account, and open a bank account or payment account by impersonating another person’s identity or fictional agency relationship;
(12) directly participating in or assisting in cross-border gambling, telecommunication network fraud and other illegal activities by using the receipt barcode;
(13) Engage in other acts that violate national laws, regulations, rules, policies and decrees, or other acts that violate this Agreement.
4.15 You agree and understand that this service depends on the accurate operation and operation of the system. You agree that the Company can take reasonable corrective measures such as correcting errors, adjusting accounts, deducting money, etc., in case of information exchange, accounting adjustment and other errors caused by communication, system abnormality or man-made reasons between the parties to the transaction, which leads to improper profits for you, the counterparty or the Company. You confirm and agree that if there is a slight error in the amount involved in the rate due to two decimal places, it will be recognized.
4.16 In the process of using this service, if you have any questions or comments, you can contact us by calling our customer service number 95017 or through online customer service. In order to provide you with customer service, our company needs you to provide corresponding identity information, transaction information or other supporting materials according to your questions and opinions, which shall be subject to the customer service tips.
V. [Service Fee]
You understand that this service comes with operating costs. For continuous operation, our company has the right to charge you for the service. The charging standards and methods of the service fees are subject to all kinds of notices and notices you receive when using this service. Unless otherwise specified by laws and regulations, all kinds of notices and announcements about fees issued by our company are an integral part of this agreement. The service fee standards determined by all kinds of notices and announcements shall take effect on the 30th day after the expiry of the notice and announcement. Before you handle related business, you shall be fully informed of the charging items or charging standards, and fully respect your right to choose. If you cannot agree to the service fee standards or charging methods determined by the notice and announcement, you have the right to stop using this service.
Vi. [Abide by local laws and regulations]
6.1 You shall abide by relevant local laws and regulations and respect local morals and customs when using this service. If your behavior violates local laws and regulations or moral customs, you should bear the responsibility for it.
6.2 If all or part of this agreement is prohibited or restricted in your country or region, you should immediately stop using this service.
VII. [Scope of Responsibility]
7.1 Our company only provides this service, and does not participate in specific commodity or service transactions. When you use this service, please contact the relevant responsible party to solve the disputes arising from the commodity or service transaction itself.
7.2 This service is provided under the existing technical level. We will try our best to provide you with the service, but we cannot guarantee that the service fully meets your expectations.
VIII. [Force Majeure and Other Exemptions]
8.1 Force Majeure Clause
(1) Due to the unforeseeable, unavoidable and insurmountable objective circumstances of our company, we can’t provide services normally and cause you losses, including typhoons, earthquakes, floods, fires, plagues, terrorist attacks, wars or similar military actions, unrest, strikes and government bans. Where there are other provisions in the law, such provisions shall prevail.
(2) Notwithstanding the foregoing agreement, the Company will inform you within a reasonable period after the occurrence of the aforementioned force majeure event, and take reasonable and effective measures to restore the service to normal as soon as possible.
8.2 Other reasons for exemption
Within the scope permitted by laws and regulations, if our services cannot be provided normally for one of the following reasons, and your losses are caused, our company will not be liable, except for the intentional or gross negligence of our company:
1. The company can’t provide services normally due to viruses, Trojans, hackers and other malicious programs in your computer, which causes you losses;
2. The failure of your electronic equipment software, system, hardware, communication lines and other reasons causes the company to be unable to provide services normally and cause you losses;
3. Due to the failure of third-party equipment or system beyond our control or reasonable prediction, such as power supply system failure, telecommunications system failure, banking system failure, network system failure, large-scale computer paralysis and other reasons, our company can’t provide services normally and cause you losses;
4. Due to your improper operation or use of this service in a way that is not authorized or recognized by our company, our company can’t provide services normally and cause you losses.
IX. [Suspension, interruption or termination of service]
9.1 You understand that our company has the right to conduct risk control on your WeChat payment transaction according to relevant laws and regulations. When you have suspicious transactions or violate the legal provisions or the agreement, the company has the right to suspend, interrupt or terminate the provision of this service to you (such as taking measures such as restricting transactions, suspending transactions, canceling transactions, adjusting accounts, etc.) for the money under your WeChat payment account name and transactions in transit. If we decide to stop providing you with all or part of this service, we have the right to return the legal funds in your WeChat payment account to the bank account you are bound to. If the funds in your WeChat payment account are suspected of illegal or criminal matters, we have the right to take measures such as closing the payment and withdrawing the funds in your WeChat payment account, and freeze and deduct the funds according to the instructions of the state authorities.
9.2 If we find that you violate this agreement, we have the right to suspend, interrupt or terminate the provision of this service to you, cancel your WeChat payment account and stop providing this service to you for a period of time.
9.3 If you need to stop using this service, you can apply for cancellation of WeChat payment account according to the page prompts of WeChat client. In order to safeguard the legitimate interests of you and others, when you apply to cancel the WeChat payment account, the company will conduct a risk review, and your WeChat payment account must not have unfinished transactions or other unresolved rights and obligations; If the above situation is found, the company will prompt the reason why it can’t be cancelled temporarily in the service page.
X. [Personal Information Protection]
Our company attaches great importance to the protection of your personal information, and your personal information will be protected and regulated according to Tenpay Privacy Policy. For details, please refer to Tenpay Privacy Policy.
XI. [Intellectual Property Protection]
11.1 The intellectual property rights of the contents (such as web pages, texts, pictures, audio, videos, charts, etc.) provided by our company in this service are owned by our company and its affiliated companies, and the intellectual property rights of the contents generated by you in using this service are owned by you or related obligees.
11.2 Unless otherwise specified, the copyright, patent right and other intellectual property rights of the software on which our company relies when providing this service belong to our company and its affiliated companies.
11.3 The copyright or trademark rights of the business logos such as tenpay, wechat pay, Tenpay and Wechat Pay used by the Company in this service belong to the Company and its affiliated companies.
11.4 All the above intellectual property rights are protected by law. Without the written permission of our company, you or related obligees, no one may use or create related derivative works in any form.
XII. [Law Application and Dispute Settlement]
12.1 When you use this service, you must not violate national laws and regulations or infringe upon the legitimate rights and interests of others. You understand and agree that if you are complained by others or you complain about others, our company has the right to provide necessary information such as your subject information, contact information and complaint-related content to the disputing party or relevant departments, so as to solve the complaint dispute in time and protect the legitimate rights and interests of you and others; Except as otherwise provided by laws and regulations.
12.2 The establishment, entry into force, performance, interpretation and dispute settlement of this Agreement shall be governed by the laws of mainland People’s Republic of China (PRC) (excluding conflict of laws).
12.3 Any dispute or controversy arising from this agreement between you and our company shall be settled through friendly negotiation first; If negotiation fails, you agree to submit the dispute or dispute to the people’s court with jurisdiction at the defendant’s domicile for settlement.
XIII. [Other Terms]
13.1 The titles of all clauses in this Agreement are for convenience of reading only, and have no actual meaning, which cannot be used as the basis for the interpretation of the meaning of this Agreement.
13.2 No matter why some of the terms of this agreement are invalid or unenforceable, the remaining terms are still valid and binding on both parties.
13.3 The appendix to this agreement has the same legal effect as the text of this agreement. In case of any conflict, the appendix to this agreement shall prevail.

Addendum to agency purchase and settlement of foreign exchange
Important note:
According to the applicable laws and regulations, you can choose to use your own foreign exchange to pay for foreign exchange or use our agency to purchase and pay for foreign exchange. If you choose to use our agency to purchase and settle foreign exchange, you need to read and agree to abide by this agency’s appendix (hereinafter referred to as "this appendix"). Our company provides you with agency purchase and settlement services (hereinafter referred to as "purchase and settlement services") according to this appendix.
We hereby remind you to carefully read and fully understand the clauses in this appendix, especially the relevant clauses such as exempting or limiting our responsibilities and limiting your rights. Please read this appendix carefully and choose whether to accept it or not. If you have any questions about this appendix, please consult customer service. If you don’t accept this appendix, or you can’t accurately understand the meaning of relevant clauses, please don’t use the agency purchase and settlement service provided by our company under this appendix. By clicking, checking or otherwise confirming on the page, you mean that you understand and accept all the terms in this appendix.
I. Purchase of foreign exchange settlement services
1.1 You want to provide you with the service of purchasing foreign exchange from our domestic foreign exchange cooperative banks (hereinafter referred to as "cooperative banks"), paying foreign exchange abroad, accepting foreign exchange remittance and settlement. Please click here for details of domestic foreign exchange cooperative banks under this service. In the service of purchasing and paying foreign exchange, our company submits the information of purchasing and paying foreign exchange to the cooperative bank on your behalf and delivers your money to the bank for purchasing and paying foreign exchange. In the foreign exchange settlement and collection service, the company submits the foreign exchange settlement and collection information to the cooperative bank on your behalf, and collects and delivers your foreign exchange funds from abroad to the bank to convert them into RMB for you.
1.2 You declare that you meet the Tenpay user identity requirements stipulated in the Tenpay Service Agreement published on our website, and have passed the real-name authentication of your Tenpay account according to our requirements, and have full civil capacity to sign and perform this appendix.
1.3 The source of foreign exchange rate for the company’s purchase and settlement services is the exchange rate quotation provided by the cooperative bank on the transaction day. You understand and agree that you have the right to decide whether to accept the exchange rate displayed on the payment confirmation page, and our company cannot guarantee that the exchange rate is the latest, real-time or the most favorable exchange rate for you. Once you click Confirm Payment on the Confirm Payment page, it means that you voluntarily agree to use the exchange rate to convert into RMB funds for payment or collection, and voluntarily entrust our company to send purchase and settlement instructions to our cooperative banks in your name.
1.4 When you use this service, you don’t need to bear the exchange difference between the exchange rate on the confirmation payment page and the exchange rate at the time of actual purchase and settlement.
1.5 You know and agree that your confirmation of payment is regarded as authorizing our company to send orders for purchase and settlement of foreign exchange to the cooperative bank, that is, it is regarded as that you have directly reached an agreement for purchase and settlement of foreign exchange with the cooperative bank, and the rights and obligations related to the purchase and settlement of foreign exchange are enjoyed and borne by you and the cooperative bank, and our company does not provide any form of guarantee and guarantee for this. At the same time, you agree and authorize our company to pay RMB funds equivalent to the purchase and settlement instructions in your WeChat payment account or your associated bank card account to the cooperative bank. If the RMB amount of the foreign exchange equivalent purchased in the purchase and settlement instruction you sent exceeds the RMB balance in your WeChat payment account or your associated bank card account, the foreign exchange purchase instruction will be deemed invalid.
1.6 You shall be responsible for the legality, authenticity, completeness and effectiveness of the instructions issued in the process of using the foreign exchange purchase and settlement service. You agree that once you click "Confirm Payment" on the page of "Confirm Payment", the Company will process and send your purchase and settlement instructions accordingly, and pay RMB funds equivalent to the purchase and settlement instructions in your WeChat payment account or your associated bank card account to the cooperative bank at your own risk, except for intentional or gross negligence of the Company. You acknowledge and agree that unless there is evidence to the contrary, the transaction information related to the purchase and settlement of foreign exchange services shall be subject to the records of TenPay service system.
1.7 You know and agree that the purchase and settlement services provided by our company for your cross-border transactions are limited to the scope of our foreign exchange business approval. If your cross-border foreign exchange transactions exceed the above-mentioned approval scope, our company will not be able to provide you with foreign exchange purchase and settlement services, but it will not affect your use of other functions involved in the master agreement.
Second, the user’s law-abiding obligations and commitments
2.1 You promise to abide by all relevant laws, regulations, departmental rules, regulatory requirements and policies of People’s Republic of China (PRC) (hereinafter referred to as "China", only for the purpose of this appendix, excluding Hongkong and Macao Special Administrative Regions and Taiwan Province) that are applicable to your use of the foreign exchange purchase and settlement service, and further promise not to use the foreign exchange purchase and settlement service for any illegal purpose or in any illegal way, nor to use the foreign exchange purchase and settlement service for transactions of prohibited or restricted articles.
2.2 You agree that the limit of your purchase and settlement of foreign exchange in cooperative banks through TenPay service system shall comply with the provisions of relevant foreign exchange laws, regulations, regulatory requirements and policies. You promise not to circumvent the above provisions by any illegal means, such as splitting bills.
3. Our company has not charged you for the agency purchase and settlement of foreign exchange. You understand that our company has the right to charge you for service due to operational needs. If our company charges you corresponding service fees in the future, the charging standards and methods of service fees shall be subject to all kinds of notices and notices you receive when using this service. Unless otherwise specified by laws and regulations, all kinds of notices and notices about charges issued by our company are an integral part of this agreement. The service fee standards determined by all kinds of notices and announcements shall come into effect 30 days after the expiration of the notice and announcement. If you cannot agree to the service fee standards or collection methods determined by the notice and announcement, you have the right to stop using this service.
Appendix II
EU user appendix
1. Your relationship with us
You are reading the EU User Addendum (this EU Addendum), which regulates your relationship with WeChat Pay Europe BV (WeChat Pay Europe Private Limited Liability Company, hereinafter referred to as "WeChat Pay Europe" or "We") when you usually live in the EU and use our website, services, applications, products and content (collectively referred to as "Services"). In this EU Appendix, "you" refers to the user of the service. This EU Appendix is a supplement to the WeChat Payment User Service Agreement between you and Tenpay Payment Technology Co., Ltd. ("Tenpay") (the "User Agreement" and this EU Appendix are collectively referred to as "this clause"). In case of any conflict between the terms of this EU Appendix and the terms of the User Agreement, the terms of this EU Appendix shall prevail. Abbreviations of proper nouns not defined in this EU Appendix have the same meanings as those specified in the User Agreement.

2. Accept this clause.
By clicking OK, checking or using our service, you confirm that you can enter into a binding contract with WeChat Pay Europe, you accept this clause and you agree to abide by it. If you don’t agree to this clause, you have the right to refuse to use our service. You can print or save a local copy to save this clause.
3. Changes in this clause
We will revise the terms and conditions from time to time, for example, we will make amendments when the service functions are updated or the regulatory requirements are changed, and we will publicize or notify you. You can check this clause regularly to see these changes. If you don’t agree to the new terms, you can’t continue to use the service, and the balance of your change in WeChat can be withdrawn to the bank card.
Step 4 charge
The regulations on service charges are listed in the fee data sheet, which can be viewed here. We reserve the right to adjust the fee schedule, and we will always notify you when the adjustment is made. All expenses will be disclosed before completing your transaction and evaluated at the time of transaction. If you don’t agree to these charges, you can stop using our service.
5. Personal data
As far as the data protection law (and Article 10 of the User Agreement) is concerned, we are the data controllers. We will handle your personal data in accordance with our Privacy Policy, and we will notify you from time to time.
6. Applicable law and jurisdiction
This EU Appendix, its subject matter and its formation are governed by Dutch law. You and we both agree to submit to the exclusive jurisdiction of the Dutch courts.
